Terms of Service

This document is a public offer (a binding proposal) by Individual entrepreneur Aleksandr Andreevich Enotaev (the “Provider”) to enter into a contract for the paid provision of access to the Veloseller service (the “Service”) on the terms set out below.

1. Definitions

  • Provider — Individual entrepreneur Aleksandr Andreevich Enotaev, TIN 643969557672, State registration number 311643925100010.
  • User — any individual or legal entity that accepts this offer.
  • Service — the Veloseller software-as-a-service platform for inventory analytics, available at this website and in the mobile application.
  • Subscription — paid access to the Service for a fixed period under the selected plan.

2. Subject of the contract

The Provider grants the User access to the Service, which analyses stock movement data supplied by the User and returns metrics, forecasts and recommendations. The Service is provided “as is”, on a subscription basis, over the internet.

The Service is an analytical tool. Its recommendations are advisory: purchasing, pricing and write-off decisions remain with the User.

4. Acceptance

Creating an account and ticking the acceptance box on the sign-up form constitutes full and unconditional acceptance of this offer. From that moment the contract is concluded and is equivalent to a written agreement.

5. User data

  • The User retains all rights to the data uploaded to the Service.
  • The Provider processes that data solely to operate the Service, and does not sell it or disclose it to third parties, except where required by law.
  • Marketplace and integration credentials are stored encrypted and are used only to fetch the User’s own data.
  • What exactly is collected and for how long it is kept is described in the Privacy Policy.

6. Free trial

Every new account gets a free trial of 35 days. No payment is taken and no card is required during the trial.

After the trial ends the Provider may, at its discretion, allow a short additional period for reviewing the final report free of charge. That period is not part of the trial and is granted case by case.

7. Prices and plans

  • The fee depends on the plan chosen. Current plans and prices are published on the billing page and form an integral part of this offer.
  • All prices are stated in Russian roubles (RUB). If your card is issued in another currency, your bank converts the amount at its own rate and may add a cross-border fee, so the sum on your statement will differ from the price shown on the billing page.
  • The Provider may change prices, giving at least 30 days’ notice by email. Changes never affect a period already paid for.

8. Payment

  • Payments are processed by Robokassa, a payment provider registered in the Russian Federation. Card details are entered on Robokassa’s side and are never transmitted to or stored by the Provider.
  • Because the gateway is Russian, some cards issued outside Russia may be declined by the issuing bank. This is a property of the payment route, not a fault of the Service.
  • A subscription period is 30 days from the date of payment. Access to paid features continues to the end of the paid period.
  • The service is deemed properly rendered if the User had access to the Service throughout the paid period.

9. Recurring payments

If the User enables automatic renewal, the following applies:

  • How it is enabled. Automatic renewal is enabled by the User at checkout, by saving a card through Robokassa and agreeing to recurring charges. The first payment constitutes acceptance of those terms.
  • When the charge happens. The card is charged automatically on the day the current paid period ends (or on the nearest following day) for the next period, at the plan price then in force.
  • How to stop it. Automatic renewal can be switched off at any time before the next charge, on the billing page or by writing to info@veloseller.ru. Charges already taken are not refunded on cancellation, and access continues to the end of the paid period.

If automatic renewal is not enabled, the subscription is renewed manually by the User on the billing page, and no automatic charges are made.

10. Refunds

The free trial exists so that the Service can be evaluated before any payment. After payment, a refund for the unused part of the period may be requested within 14 days of payment, provided the paid features were not actively used. Requests go to info@veloseller.ru and are handled under the law stated in section 15.

11. Rights and obligations

The Provider undertakes to:

  • provide access to the Service in line with the selected plan;
  • keep the User’s data confidential;
  • notify the User of planned maintenance that affects availability.

The User undertakes to:

  • supply accurate data and keep account credentials secure;
  • not attempt to gain unauthorised access to the Service or to other users’ data;
  • not resell access to the Service without the Provider’s written consent.

12. Liability

The Service is provided “as is”. The Provider is not liable for business decisions the User makes on the basis of the Service’s metrics and recommendations, nor for lost profit.

The Provider’s aggregate liability is limited to the amount paid by the User for the current subscription period.

The Provider is not liable for interruptions caused by third parties — hosting, payment providers, marketplace APIs — or by circumstances beyond its reasonable control.

13. Termination

  • The User may stop using the Service at any time; the subscription then simply ends when the paid period runs out.
  • The Provider may suspend access if these terms are breached, having notified the User by email.
  • On termination, the User’s data is retained for the period stated in the Privacy Policy and is then deleted.

14. Changes to this offer

The Provider may amend this offer. The current version is always published on this page with its date. Material changes are announced by email at least 14 days in advance. Continuing to use the Service after that period constitutes acceptance of the new version.

15. Governing law and disputes

This contract is governed by the law of the Russian Federation, where the Provider is registered. The parties will attempt to resolve disputes through negotiation; the pre-action claim procedure is mandatory, with 30 days to respond. Unresolved disputes are heard by the courts at the Provider’s place of registration.
